1. ACCEPTANCE OF TERMS
1.1 Binding Agreement: By accessing our website, requesting a quotation, signing a Proforma Invoice (PI), or making a payment to Car Buy Global, you (“Buyer”, “Client”, “You”) agree to be bound by these Terms of Service and Export Agreement (the “Agreement”).
1.2 Modification: Car Buy Global reserves the right to modify these terms at any time. Changes will be effective upon posting to the website. The version of the Agreement in effect at the time of Order Confirmation shall govern the transaction.
1.3 Conflict: In the event of a conflict between these Terms and a signed Sales Contract or Proforma Invoice, the specific terms in the Contract/PI shall prevail for that specific transaction, provided they do not violate mandatory laws.

2. DEFINITIONS
2.1 Vehicles: Refers to all automobiles, including Electric Vehicles (EVs), Hybrids, Gasoline Cars, SUVs, Pickups, and Commercial Vehicles listed for export.
2.2 Destination Country: The country where the Buyer intends to import and register the Vehicles.
2.3 Incoterms: International Commercial Terms (Incoterms® 2020) governing the delivery of goods (e.g., FOB, CIF, CFR, EXW).
2.4 Bill of Lading (B/L): The legal document issued by the carrier detailing the type, quantity, and destination of the goods being carried.
2.2 Destination Country: The country where the Buyer intends to import and register the Vehicles.
2.3 Incoterms: International Commercial Terms (Incoterms® 2020) governing the delivery of goods (e.g., FOB, CIF, CFR, EXW).
2.4 Bill of Lading (B/L): The legal document issued by the carrier detailing the type, quantity, and destination of the goods being carried.
3. PRODUCTS, AVAILABILITY, AND SPECIFICATIONS
3.1 Inventory: While we strive for accuracy, vehicle availability is subject to factory production schedules and prior sales.
3.2 Specifications: Vehicle specifications (battery range, fuel type, software language, hardware features) are based on manufacturer data at the time of export. Car Buy Global is not liable for minor specification changes made by the manufacturer without notice.
3.3 Substitution: If a specific Vehicle becomes unavailable due to force majeure or factory discontinuation, we will offer a comparable replacement of equal or greater value. The Buyer may accept the replacement or receive a full refund of the deposit.
3.4 Parallel Export: Buyer acknowledges that some Vehicles may be exported as “parallel exports.” Warranty validity in the Destination Country depends on the manufacturer’s global policy and local dealer recognition. Car Buy Global facilitates warranty claims but does not guarantee local dealer service acceptance.

4. PRICING, TAXES, AND PAYMENT
4.1 Currency: All prices are quoted in United States Dollars (USD) unless otherwise agreed in writing.

- Import duties, taxes, VAT, or GST in the Destination Country.
- Customs clearance fees in the Destination Country.
- Registration and licensing fees.
- Marine insurance (unless CIF is agreed).
- Inland transportation in the Destination Country. 4.3 Payment Terms:
- Deposit: A non-refundable deposit (typically 30% to 50%) is required to confirm the Order.
- Balance: The remaining balance must be paid in full before the release of original shipping documents (Bill of Lading).
- Method: Payments must be made via international wire transfer to Car Buy Global’s designated corporate bank account. Third-party payments are subject to anti-money laundering (AML) verification. 4.4 Bank Charges: All bank charges incurred in the country of origin are borne by the Buyer. All bank charges in China are borne by the Seller. 4.5 Price Validity: Quotations are valid for seven (7) days from the date of issue. Prices are subject to change based on factory adjustments, currency exchange rates, and shipping freight fluctuations.
5. SHIPPING, LOGISTICS, AND DELIVERY
5.1 Incoterms: Risk and cost transfer points are defined by the agreed Incoterm (e.g., FOB Shanghai, CIF Lagos).
5.2 Estimated Time of Arrival (ETA): ETAs are estimates provided by shipping lines. Car Buy Global is not liable for delays caused by port congestion, weather, customs inspections, strikes, or carrier scheduling.
5.3 Packaging: Vehicles will be packaged according to standard international export practices (e.g., container loading, racking, or Ro-Ro).
5.4 Title and Risk: Title and risk of loss or damage to the Vehicles shall pass from Seller to Buyer in accordance with the agreed Incoterm.

- Certificate of Origin
- Export License (if applicable)
- Vehicle Inspection Certificate
6. INSPECTION AND ACCEPTANCE
6.1 Pre-Shipment Inspection (PSI): The Buyer is strongly encouraged to arrange a third-party pre-shipment inspection (e.g., SGS, Bureau Veritas) at their own cost before the vehicle is loaded.
6.2 Deemed Acceptance: If no third-party inspection is conducted prior to loading, the Vehicles are deemed accepted by the Buyer upon issuance of the Bill of Lading.
6.3 Visible Damage: Any visible damage incurred during loading must be noted on the Bill of Lading. Claims for visible damage not noted on the B/L will not be accepted.
6.4 Hidden Damage: Claims for hidden damage must be reported within seven (7) days of arrival at the Destination Port, supported by photographic evidence and an independent surveyor’s report.

7. IMPORT COMPLIANCE AND HOMOLOGATION
7.1 Buyer Responsibility: The Buyer is solely responsible for ensuring that the Vehicles comply with all laws, regulations, safety standards, emissions standards, and technical requirements of the Destination Country.
7.2 Modifications: Car Buy Global does not modify Vehicles to meet local standards (e.g., changing speedometers from km/h to mph, altering headlight beams, or adjusting emission systems) unless explicitly agreed as a custom service in writing.
7.3 Customs Clearance: Car Buy Global is not responsible for customs clearance delays or rejections in the Destination Country. If Vehicles are rejected by local customs due to non-compliance, the Buyer bears all costs for return shipping, storage, or disposal.
7.4 Steering Configuration: Buyers must verify whether their country requires Left-Hand Drive (LHD) or Right-Hand Drive (RHD) vehicles. Car Buy Global supplies vehicles based on the Buyer’s explicit written request.

8.2 Claims Process: Car Buy Global will assist in facilitating warranty claims by coordinating with the manufacturer. However, the Buyer is responsible for labor costs and local parts shipping in their country.
8.3 Spare Parts: We can supply spare parts upon request. Shipping costs for parts are borne by the Buyer.
8.4 Exclusions: Warranty does not cover damage caused by improper use, accidents, lack of maintenance, unauthorized modifications, or natural disasters.
8.5 Software Updates: Over-the-air (OTA) software updates may be region-locked. Car Buy Global is not liable for software incompatibility in the Destination Country.

9. INTELLECTUAL PROPERTY AND CONFIDENTIALITY
9.1 IP Rights: All content on Carbuy.global, including logos, images, and text, is the property of Car Buy Global and protected by copyright laws.
9.2 Confidentiality: Both parties agree to keep pricing, client lists, and trade secrets confidential. Neither party shall disclose this information to third parties without written consent, except as required by law.
9.3 Brand Usage: Buyers may not use the Car Buy Global name or logo for marketing purposes without prior written authorization.

10. LIMITATION OF LIABILITY
10.1 Consequential Damages: Car Buy Global shall not be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of profit, loss of business opportunity, or downtime.
10.2 Liability Cap: In no event shall Car Buy Global’s total liability exceed the total purchase price of the Vehicles involved in the claim.
10.3 Third-Party Services: We are not liable for the acts or omissions of third-party service providers, including shipping lines, customs brokers, or insurance companies.

11. ANTI-CORRUPTION AND COMPLIANCE
11.1 Anti-Bribery: Both parties certify that they have not and will not offer, give, or receive any bribes or kickbacks in connection with this Agreement.
11.2 Sanctions: Car Buy Global complies with international trade sanctions. We reserve the right to refuse service to entities or individuals on sanctioned lists (e.g., OFAC, UN, EU).
11.3 End-Use: The Buyer warrants that the Vehicles will not be used for illegal purposes, military applications (unless authorized), or re-exported to sanctioned regions.

12.1 Data Collection: We collect personal and business data to process orders and comply with legal obligations.
12.2 Protection: We adhere to applicable data protection laws, including China’s Personal Information Protection Law (PIPL) and the EU’s General Data Protection Regulation (GDPR) where applicable.
12.3 Usage: Data will not be sold to third parties but may be shared with logistics partners and manufacturers to fulfill the order.

13. FORCE MAJEURE
13.1 Definition: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including acts of God, war, pandemics, government export/import restrictions, factory shutdowns, strikes, or internet failures.
13.2 Notification: The affected party must notify the other within seven (7) days of the event.
13.3 Resolution: If the force majeure event persists for more than 60 days, either party may terminate the Agreement without penalty, subject to refund of funds held for unshipped goods.

14. TERMINATION
14.1 By Seller: Car Buy Global may terminate this Agreement if the Buyer fails to make payment, breaches compliance clauses, or provides false information.
14.2 By Buyer: The Buyer may cancel an order prior to shipment subject to the cancellation fees outlined in Section 4.3. After shipment, orders cannot be cancelled.

15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China.
15.2 Negotiation: Parties agree to attempt to resolve disputes amicably through good-faith negotiation.
15.3 Arbitration: If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing. The arbitration shall be conducted in English.
15.4 Judgment: The arbitral award shall be final and binding upon both parties.
15.5 Costs: The losing party shall bear the arbitration fees and reasonable legal costs incurred by the prevailing party.
